Welcome to Praiyerly. These Terms and Conditions (“Terms”) govern your use of the Praiyerly website, mobile applications, and services (collectively, the “Services”), provided by Praiyerly. (“Praiyerly,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

1. Agreement to Terms

By using our Services, you agree to these Terms and our Privacy Policy. These Terms constitute a binding legal agreement between you and Praiyerly. You represent and warrant that you are of legal age to form a binding contract. If you are using the Services on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on their behalf and bind them to these Terms.

2. Use of the Service

You agree to use Praiyerly only for lawful purposes and in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

3. Prohibited Uses

You agree not to do any of the following:

Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Praiyerly or users of the Services.
Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.
Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services or any part thereof.
Copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services or any portion thereof.
Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.

4. Eligibility and Account Registration

You must be at least 18 years old to use the Services. The Services are not intended for or directed to minors under the age of 18, and we do not knowingly collect personal information from minors under 18. The Services are not available to schools or other educational institutions. To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Accounts and Subscriptions

Free Tier: Praiyerly may offer a free tier of service, which includes a limited number of minutes per week (e.g., 3 minutes/week) and a limited number of features. We reserve the right to change or cancel the free tier, including the number of minutes offered and the features available, at any time in our sole discretion.

Premium Subscriptions: Subscriptions provide access to premium features and a certain number of minutes per month according to the plan you choose (e.g., 72 minutes/month). We reserve the right to change or cancel any of or all of the premium subscription plans, including the number of minutes offered and the features available, at any time in our sole discretion.

No Trials: Praiyerly does not offer free trials of its premium subscription plans.

No Refunds: All payments are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused services.

Cancellation: If you cancel your subscription, you will continue to have access to the Services until the end of your current billing period. No refund will be provided for the remaining portion of the subscription period.

Non-accrual of Minutes: Unused minutes from one subscription period do not roll over or accrue in subsequent subscription periods.

Changes to Subscription Plans: We reserve the right to modify or discontinue subscription plans with notice. We will provide you with reasonable prior notice of any material changes to subscription fees.

6. User Content and Feedback

Our Services may allow you and other users to create, post, store and share content, including messages, text, photos, videos, and other materials (collectively, “User Content”). Except for the license you grant below, you retain all rights in and to your User Content, as between you and Praiyerly. You grant Praiyerly a perpetual, irrevocable, nonexclusive, royalty-free, worldwide, fully-paid, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your User Content and any name, username or likeness provided in connection with your User Content in all media formats and channels now known or later developed without compensation to you. You may also post or otherwise share your ideas, comments, suggestions, or other feedback with us (“Feedback”). You grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, and sublicensable right to use, copy, modify, and otherwise exploit your Feedback for any purpose, including to improve the Services and create other products and services, without any compensation to you. You represent and warrant that: (i) you own and control all of the rights to the User Content that you post or you otherwise have the right to post such User Content; (ii) the User Content is accurate and not misleading; and (iii) your User Content, and your use and posting thereof, does not and will not violate any rights of or cause injury to any person or entity.

7. Praiyerly's Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Praiyerly, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Praiyerly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal, non-commercial use. This license is subject to these Terms and does not include any right to: (a) sell, resell or commercially use the Services or the content therein; (b) copy, reproduce, distribute, publicly perform or publicly display any content, except as expressly permitted by us; (c) modify the content, remove any proprietary rights notices or markings, or otherwise make any derivative uses of the Services or its content; (d) use any data mining, robots or similar data gathering or extraction methods; and (e) use the Services other than for their intended purposes. Any use of the Services other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein.

8. Copyright and DMCA

In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable law, Praiyerly has a policy of terminating, in appropriate circumstances, the accounts of users who are deemed to be repeat infringers. We also may, at our sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

9. Third-Party Services

The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

10. Disclaimer of Warranties and Limitation of Liability

Praiyerly is offered as a non-religious tool for reflection and support. It is not a substitute for professional mental health or medical advice. THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. TO THE FULLEST EXTENT PERMITTED BY LAW, PRAIYERLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Praiyerly and its officers, directors, employees, and agents, from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services, (ii) your User Content, or (iii) your violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

13. Changes to These Terms

We may update these Terms from time to time. If changes are significant, we will notify users through our website or by other means. Continued use of the Services after changes means you accept the revised Terms.

14. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. IT REQUIRES YOU TO RESOLVE MOST DISPUTES WITH PRAIYERLY ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION.

You and Praiyerly agree to resolve any disputes relating to these Terms or the Services through final and binding arbitration. Arbitration will be conducted on an individual basis, and you may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. The maximum amount of any award to a user will not exceed the total value of your subscription payments to Praiyerly. You and Praiyerly each waive the right to a trial by jury.

15. Consent to Electronic Communications

By using the Services, you consent to receiving certain electronic communications from us as further described in our Privacy Policy. Please read our Privacy Policy to learn more about our electronic communications practices. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

16. General Terms

These Terms constitute the entire and exclusive understanding and agreement between Praiyerly and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Praiyerly and you regarding the Services. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
